Advertising Space Lease Agreement

PUNICODEX Advertising Program

Effective Date: June 11, 2026

1. Definitions

"Lessor"
PUNICODEX, the operator of the PUNICODEX website and its advertising program.
"Lessee" / "Advertiser"
The individual or entity leasing advertising space on a PUNICODEX temple page.
"Temple Page"
An individual landing page within the PUNICODEX network (e.g., /sites/zeus/, /sites/chaos/, /sites/apollo/).
"Slot"
A designated advertising position on a Temple Page. Each Temple Page contains 13 individual Slots (5 Banners and 8 Boxes) plus 1 Full-Page Takeover Slot.
"Lease Period"
The duration of the advertising lease, either Monthly (1 month) or Yearly (12 months).
"Page Views"
The total number of unique page loads on a specific Temple Page within a calendar month, as measured by PUNICODEX analytics.
"Base Price"
The starting monthly lease price for a Slot before any view-based adjustments.

2. Lease Terms

2.1 Monthly Lease

All leases are month-to-month unless a Yearly lease is selected. Monthly leases automatically renew on the same calendar date each month unless cancelled by either party with at least 7 days written notice prior to the renewal date.

2.2 Yearly Lease

A Yearly lease provides a 10% discount off the aggregated monthly Base Price for the selected Slot(s). The price is locked for the entire 12-month duration — even if the Temple Page enters a higher traffic tier or demand increases, the Lessee pays the original rate until the yearly term ends. Yearly leases are non-refundable but may be transferred to another Slot or Temple Page with 14 days notice, subject to availability.

2.3 Renewal & Rate Lock

Upon renewal, the Lessee's rate is locked at the Base Price effective at the time of booking, plus any view-based multiplier adjustments applied during the Lease Period. If a view-based tier increase occurs mid-lease, the new rate applies at the next renewal.

Example: You book Slot 01 on a Temple Page at $60/month while it is in the Base tier (0–2,500 views). Three months later, the page hits the Growth tier (2,501–10,000 views). Your next renewal will be at $90/month (Base × 1.5). You are never charged mid-cycle.

3. Pricing Structure

3.1 Temple Tiers

Every Temple Page is assigned a rental tier based on editorial significance, monthly page views, content depth, and expected advertiser demand. Tiers reflect audience engagement and the editorial investment in the entry.

All prices are in USD. Payment is processed via Stripe. A 2.9% + $0.30 processing fee is added at checkout. Yearly leases receive a 10% discount off the aggregated monthly rate.

3.2 Slot Layout & Creative Specs

Each Temple Page is divided into 13 individual placements plus one Full-Page Takeover bundle. The layout uses two standard creative formats so advertisers can reuse existing assets.

Prices descend by position: the top Banner is the most expensive, lower Boxes are the least expensive, and the bottom Banner is priced below the top Banner to reflect scroll depth.

3.3 Traffic & Demand Benchmarks

PUNICODEX uses a discretionary performance-based pricing model. The following view benchmarks inform pricing decisions but do not trigger automatic increases. PUNICODEX evaluates each Temple Page independently, considering both traffic and advertiser demand.

How it works: A Temple Page averaging 8,000 views/month may be priced in the Growth range — but only if advertiser demand justifies it. A page with 50,000 views but low demand may remain at Base pricing. Conversely, a page with only 3,000 views but high competition for slots may see increases sooner. PUNICODEX has sole discretion.

3.4 Notice of Price Change

PUNICODEX will notify all active Lessees on an affected Temple Page at least 30 days before any price increase takes effect at renewal. Lessees may cancel their lease without penalty before the new rate applies. Price decreases may take effect immediately and benefit all renewals.

4. Content Standards & Prohibited Use

All advertising content must comply with the following standards. PUNICODEX reserves the right to reject or remove any creative that violates these guidelines.

All creative is reviewed within 24–48 hours of submission. PUNICODEX may approve, reject, or request modifications. The Lessee will be notified via email. If rejected, the Lessee may submit revised creative at no additional cost. The lease period begins upon creative approval, not at the time of payment.

5. Payment Terms

5.1 Billing

All charges are billed in advance. Monthly leases are billed on the same calendar date each month. Yearly leases are billed in full at the start of the Lease Period.

5.2 Failed Payment

If a payment fails, the Lessee has 3 calendar days to resolve the issue. After 3 days, the Slot becomes available for other advertisers. No refund is issued for partial months.

5.3 Refunds

Monthly leases: No refunds for partial months. Lessees may cancel at any time; the Slot remains active until the end of the current billing period.

Yearly leases: Non-refundable. In exceptional circumstances (e.g., persistent technical failure preventing ad display for >7 consecutive days), PUNICODEX may, at its sole discretion, offer a pro-rata credit toward future advertising.

5.4 Price Adjustments

PUNICODEX may adjust Base Prices for new bookings with 30 days notice posted on this page. Price adjustments are based on a combination of Temple Page traffic, advertiser demand, slot availability, and market conditions. Existing leases are not affected by Base Price changes unless the Lessee elects to renew at the new rate.

6. Termination

6.1 By Lessee

The Lessee may cancel their lease at any time through their temple dashboard or by emailing support@punicodex.com. Cancellation takes effect at the end of the current billing period.

6.2 By Lessor

PUNICODEX may terminate a lease immediately if the Lessee violates content standards, engages in fraudulent activity, or fails to resolve a payment issue within 3 days. In cases of content violation, no refund will be issued.

6.3 Effect of Termination

Upon termination, the Lessee's creative is removed from the Temple Page within 24 hours. The Lessee retains access to their temple dashboard for 90 days to download performance reports.

7. Analytics & Performance

Each Lessee receives access to a private temple dashboard showing:

PUNICODEX uses privacy-respecting analytics. No personal data is collected from visitors. Metrics are provided as-is and PUNICODEX does not guarantee specific performance outcomes.

8. Intellectual Property

The Lessee retains all rights to their creative content. By submitting creative, the Lessee grants PUNICODEX a limited, non-exclusive license to display the creative on the booked Slot(s) for the duration of the Lease Period.

PUNICODEX retains all rights to its branding, temple designs, code, and domain names, subject to applicable law and the rights of third parties. Lessees may not reproduce, scrape, or resell access to PUNICODEX temple pages.

9. Limitation of Liability

PUNICODEX provides advertising space "as is" and makes no warranties regarding traffic volume, visitor demographics, or conversion rates. PUNICODEX's total liability to any Lessee shall not exceed the amount paid by that Lessee in the 30 days preceding the claim.

10. Dispute Resolution

Any dispute arising from this Agreement shall first be addressed through good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA). Each party bears its own costs.

11. Modifications to this Agreement

PUNICODEX may update this Agreement from time to time. Material changes (e.g., pricing structure, refund policy) will be notified via email to active Lessees at least 30 days before taking effect. Continued use of the service after changes constitutes acceptance. The current version is always available at punicodex.com/terms.

12. Governing Law

This Agreement is governed by the laws of New South Wales, Australia, without regard to conflict of law principles.

13. Acceptance

Before completing a booking, every Advertiser must explicitly agree to this Advertising Space Lease Agreement. By ticking the acceptance checkbox in the booking modal, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth herein.
